Section I. Name and Organizational Structure:
The
name of the regional chapter shall be the Everglades Chapter of the Antique Motorcycle Club of America, Inc. The Chapter shall be a not-for-profit organization which may be incorporated or assume such other status
as a legal entity, as is determined by the Board of Directors.
Section II. Chapter Purposes and Powers:
The purposes of this Chapter
are to promote the preservation and restoration of antique and classic motorcycles, and to promote membership and participation
in the National AMCA. The Chapter shall be empowered to pursue those purposes
by exercising all lawful powers of an organization of its type, within the constraints of these bylaws.
Section III. Officers and Board of Directors:
The Officers of the Chapter shall be the President, Vice President, Secretary, and Treasurer. **The Board of Directors shall consist of the officers, up to six directors, and the Newsletter Editor. The members of the Board of Directors shall be elected by the membership at the annual
meeting,and the officers and editor shall be elected from the New Board of Directors. Midterm vacancies may be filled
by the remaining Board members. The Board shall conduct the ordinary business of the Chapter
by majority vote of a quorum present at a special or regular meeting. A quorum
shall consist of at least five members. Matters of such urgency as cannot await a scheduled meeting, and which do not require
the expenditure of more than $100, may be acted upon between meetings by the agreement of at least three of the four officers.
Section IV. Membership:
There shall be 3 categories
of membership. Charter Members are those 31 members who signed the New Chapter Application by which the Chapter was created. Founding members are all members who enrolled by the time of our Organizational Meeting
on January 17th, other than Charter Members. General Membership is open to all current dues-paying national AMCA
members. All categories of members must pay dues.
Section V. Dues and
Financial Affairs:
The Chapter will be operated as a nonprofit organization. Annual
dues of **$10 shall be paid upon joining, and each calendar year by no later than January 31st. The Chapter may sell advertising space in the newsletter, charge fees for vendors to display at meets, and engage in other income-generating
activities as approved by the Board to finance the successful operation of the Chapter.
No member of the Chapter shall be paid a fee for any services performed for the Chapter. Chapter funds are to be entrusted to and accounted for the Club Treasurer in one or more bank accounts
established for that purpose.
Section VI. Club Newsletter:
A newsletter will be published 4*
times per year and distributed free of charge to Chapter Members, the National Board of Directors, and others within the discretion
of the Editor. Chapter members shall be permitted to run free non-commercial
classified ads in the Newsletter, with the Editor having the discretion to limit the number and frequency of such ads from
a member.
Section VII. Meetings of the Board:
Regular meetings of the Board will be conducted on a quarterly basis, at times and locations to be determined
by the President. Members are allowed to attend the Board meetings but, except
for the annual elections, members cannot vote unless they are officers or directors.
The members will be notified of the time and place of each meeting by the newsletter.
The September regular meeting shall be the Annual Meeting of the membership when elections are held and other
business requiring votes of the membership is conducted. A quorum for the Annual
Meeting shall be at least 10 members.
Section VIII. Amendments to the By-Laws:
Bylaws may be amended by a super-majority vote of at least two-thirds of the
officers and directors.
Section IX. Dissolution of Chapter:
The Chapter may be dissolved by a super-majority vote of three quarters of
the members present at an annual meeting, or by written request of the AMCA national board of directors.
Section X. Approval of By-Laws:
These Bylaws were approved by unanimous vote of the members present at the
Chapters inaugural meeting on January 17, 2004.
